Luca Baroni deals with commercial, corporate, banking and finance law matters (including corporate finance, debt and equity) and he assists the foremost Italian and foreign financial intermediaries, funds and companies in extraordinary finance and capital raising transactions.

He specialises in an extensive range of domestic and cross-border capital market transactions (listings, IPOs, rights issues, capital increases, ABB procedures, share buyback programmes, debt programmes, Eurobonds, EMTN programmes and ECP programmes, standalone issues – including convertible bonds – liability management and consent solicitation and exchange offer), structured finance (securitizations, covered bond programmes and the relevant issues and derivatives) as well as with respect to the relevant regulatory aspects.

He was admitted to the Bar in 2006.

Prior to joining our Milan office in January 2019, he was a trainee at a prestigious law firm in Turin where he assisted listed companies and in 2008 he went to the United States to further his studies in the financial markets, where he obtained his Master’s in Law and Economics (corporate finance, accounting and derivatives) and was subsequently admitted to the New York Bar.

In 2010 he joined Clifford Chance and continued to advise on capital markets, both debt and equity. During his career he was seconded to two leading Italian listed companies.
