Luca Baroni focuses on commercial, corporate and banking law and the financial sector (finance, debt and equity) providing legal assistance in the field of extraordinary finance transactions and capital raising to Italian and international financial intermediaries, funds and corporate issuers.

His practice takes place with particular regard to listing activities in the main European exchanges and/or multilateral trading systems on Italian and European stock exchanges, capital market transactions, at national and international level (ipo, rights issues, capital increases and shares buy-back programmes, ABB procedures, debt programmes, eurobond issues, EMTN programmes, ECP programmes, standalone issues, exchangeable and/or convertible bonds, liability management transactions – consent solicitation and exchange offer), structured finance (securitisations, covered bond programmes – update, supplement and issues – and derivatives) and the relevant regulatory aspects.

He was admitted to the Bar in 2006 and is currently member of Milan Bar Association.

He started his professional career in a prestigious law firm in Turin, assisting listed companies and in 2008 he went to the United States to deepen his studies in the financial markets, following a master’s degree in law and economics (corporate finance, accounting and derivatives) and, consequently, he was admitted to the New York Bar.

In 2010 Luca took over his activity at Clifford Chance, providing legal assistance in Capital Markets, both debt and equity. During his career he also spent two secondment periods in leading Italian listed companies.

She joined Studio Giovanardi Pototschnig & Associati in January 2019.
